KitNDocs Terms of Use

These terms govern your personal use of KitNDocs. They apply between you and Passeri Studio Ltd, trading as KitNDocs ("Passeri", "we", "us" or "our"). Passeri Studio Ltd is registered in England and Wales under company number 17254010. Its registered office is 66 Paul Street, London EC2A 4NA, United Kingdom.
These terms apply to the current KitNDocs application at https://kitndocs.app and to other KitNDocs services that link to them.
KitNDocs is intended for people who manage air-sports equipment for an organisation. You must have legal capacity to accept these terms and authority to access the relevant records.
Passeri and the organisation that gives you access may agree to other terms. These can include an order form, customer agreement or data processing agreement. These terms govern what you may do as a person using KitNDocs. They do not give you authority to accept or change commercial terms for an organisation. If a customer agreement conflicts with these terms, the customer agreement controls the organisation's commercial relationship with Passeri.
If you do not agree to these terms, do not use KitNDocs.
1. What KitNDocs does
KitNDocs stores and organises information about equipment, people, maintenance work and evidence. It can:
- hold equipment details, readings, tasks, issues, defects, custody and maintenance schedules.
- store due dates and usage limits stated by an operator, then derive due, overdue and service state from those values and configured rules.
- show work that needs attention and send morning briefings.
- keep certificates and files with the work or finding they support.
- let you ask a read-only assistant questions about records you are allowed to see and the KitNDocs help centre.
KitNDocs provides software and related support. It does not become an equipment manager.
2. Safety, serviceability and compliance remain your responsibility
KitNDocs does not inspect, maintain, repair, test or authenticate equipment or evidence. It does not decide which law, maintenance programme, manufacturer instruction, task, interval or competent person applies.
KitNDocs does not itself certify, release or declare equipment safe, serviceable or airworthy. A certificate in KitNDocs states what a signed-in person declared and what information was in the service at that time. It is not a decision by Passeri.
You and the organisation you work for remain responsible for:
- identifying and following all applicable laws, rules, manuals and instructions.
- appointing competent people and deciding who may perform or sign work.
- inspecting, maintaining and operating equipment safely.
- deciding whether equipment may be used or returned to service.
- checking that information, intervals and contact details are complete and accurate.
- reviewing the service rather than relying on a message alone.
- keeping any original document or statutory evidence that must be kept outside KitNDocs.
KitNDocs can organise evidence for review. It does not guarantee that an auditor, regulator, governing body, insurer or court will accept it.
3. Information and imports
You must enter information honestly and take reasonable steps to check it. This includes serial numbers, markings, dates, readings, rules, intervals, names, qualifications, work, findings and attachments.
Information imported or entered with Passeri's help can contain source errors, uncertain matches or transformation errors. You must review an import and tell us promptly when something is wrong. Passeri remains responsible for carrying out its own work with reasonable care and skill.
Some rows can be corrected. KitNDocs keeps a restricted change history for most organisation data. It includes the person or system that made a change and the values before and after it. This history is tamper-resistant against ordinary application access. It is not a cryptographic proof, not every table is included, and it is not a complete customer-visible export.
4. Reminders and availability
Morning briefings and other reminders are secondary controls. They may be delayed, rejected, filtered, sent to an old address or not delivered. A provider accepting a message does not prove that a person received or read it.
You must not use a reminder as the only control for a safety-critical or legally required deadline. Check the current information in KitNDocs and keep any independent control that your operation needs.
We use reasonable care and skill to provide KitNDocs. We do not promise uninterrupted, error-free or permanently available access. Planned maintenance, faults, internet services and suppliers can affect availability. Any service level agreed with an organisation belongs in its customer agreement.
5. The assistant
The assistant is software. It uses read-only tools and cannot change your records. It sends your question, recent assistant messages and retrieved information through Vercel AI Gateway to Anthropic. When configured, Passeri sends assistant inputs, outputs and operational metadata to PostHog. We use this information to investigate faults and answer quality.
Assistant messages remain stored. Start again creates a new conversation identifier. It does not remove earlier messages.
An assistant answer may be incomplete, outdated or wrong. Check it against the linked record, the help centre, applicable instructions and competent advice before acting. The assistant does not provide legal, regulatory, engineering, maintenance or safety advice.
6. Files, evidence and signatures
You must have the right to upload every file and every piece of personal information you add. Do not upload unlawful content, malicious code or information that is not reasonably needed for the record.
A file attached in error can be voided. It cannot be restored after 28 days. Shortly after that period, an automated process attempts to destroy the stored bytes. The filename, label, size, void details, tombstone and relevant change-history information remain. Supplier backups and copies may expire on a different cycle.
Voiding is for a file added in error. You remain responsible for preserving genuine maintenance or regulatory evidence for as long as the applicable rule requires.
A signature mark is drawn afresh for one certificate. KitNDocs stores the points used to draw it, including position, timing and reported pressure. The mark is not biometric authentication and does not prove whose hand drew it. Identity evidence comes from the surrounding account, timestamp and stored author. Protect your sign-in details and never let another person use them.
7. Accounts and access
You must:
- give Clerk and KitNDocs accurate account information.
- keep your sign-in details secure and use only your own account.
- use only organisations and records you are authorised to access.
- tell the organisation and Passeri promptly if access or credentials may have been compromised.
- stop using organisation data when your authority ends.
Organisation membership and identity are managed through Clerk. A KitNDocs organisation member currently has broad access to that organisation's records. Do not assume that an on-screen action proves you are competent or authorised to perform the real-world act it describes.
8. Acceptable use
You must not:
- break the law or another person's rights.
- seek access to another organisation's information.
- bypass security, interfere with the service or introduce malicious code.
- scrape, probe or overload the service without written permission.
- reverse engineer the service except where the law expressly permits it.
- use the service to mislead an auditor, regulator, insurer or another person.
- impersonate another person or share an account.
- upload content you have no right to use.
We may restrict access where reasonably necessary to protect people, records, the service or the law. Where practicable, we will explain the restriction and limit it to the affected access or function.
9. Ownership and permission to process content
Passeri and its licensors own KitNDocs, its software, design, documentation and branding. These terms give you a limited, revocable and non-transferable right to use the service. Your organisation must authorise that use.
You or the relevant organisation retain rights in information and files supplied to KitNDocs. You give Passeri permission to process that content only for defined purposes. We may host, copy, transmit and display it to provide, secure and support the service. We may also follow documented customer instructions, comply with law, or establish and defend legal claims.
We do not claim ownership of private customer records. We do not have a blanket right to use them for advertising, sale or model training.
We may use feedback about KitNDocs to improve the service. Do not include private customer records unless we need them to investigate a problem.
10. Privacy and data processing
The separate Privacy Notice explains how Passeri processes personal information. The separate Cookie and Storage Notice explains browser storage and analytics.
For organisation operational records, the organisation normally decides why the information is used and acts as controller. Passeri normally processes it on the organisation's instructions. Passeri separately acts as controller for purposes it decides. These include account administration, security, support, telemetry that does not include customer-controlled operational content, and its legal obligations.
A customer agreement or separate data processing agreement must settle the organisation's full processor terms. These terms are not a complete data processing agreement.
11. Paid service and commercial terms
A separate order or customer agreement governs any paid service.
Nothing in these terms promises an organisation-wide export, automatic organisation deletion or a particular post-termination access period. Those capabilities and commitments must be agreed expressly and must match what the service can provide.
12. Ending access
You can stop using KitNDocs at any time. An organisation may remove your membership through Clerk. Removing a person or an organisation from Clerk does not automatically remove KitNDocs records.
We may suspend or end personal access for a material breach, security risk or unlawful use. We may also end it when the organisation no longer authorises you. Ending access does not erase records, files, assistant messages, change history or legacy information. Retention, return and deletion depend on the type of information and the organisation's instructions. Applicable duties, legal claims, supplier cycles and any customer agreement also affect them.
Contact support@kitndocs.com about access, correction, return or deletion. We will assess the request under the applicable role and law. We cannot promise that every record can be removed.
13. Our responsibility
Nothing in these terms excludes or limits liability for death or personal injury caused by negligence. We do not exclude liability for fraud, fraudulent misrepresentation or any other liability that the law protects.
We are responsible for foreseeable losses caused by our breach of these terms. We are also responsible when we fail to use reasonable care and skill. We are not responsible for loss caused by inaccurate or incomplete source information or an organisation's chosen rules. The same applies to a person's lack of authority or competence and a failure to act on visible information. Do not use a reminder or assistant answer as the only control. This exclusion does not apply to the extent that our breach caused or contributed to the loss.
To the extent permitted by law, we are not responsible under these personal terms for indirect or consequential loss. We also exclude loss of profit, revenue, business, opportunity or anticipated savings. A customer agreement may set different categories, remedies and caps for claims connected with an organisation's paid service. Those terms apply where the customer agreement says they do.
These terms do not limit rights or remedies that cannot lawfully be limited.
14. Changes to KitNDocs and these terms
We may correct, change or stop parts of KitNDocs.
The version and last-updated date above identify these terms. A material commercial change belongs in the applicable customer agreement or renewal, not only in these personal terms.
15. General terms
If one provision is unenforceable, the rest remain in effect. A delay in enforcing a provision is not a waiver. You may not transfer your rights under these terms without our written agreement. We may transfer our rights as part of a sale, reorganisation or transfer of the service, subject to applicable law.
The law of England and Wales governs these terms. The courts of England and Wales have non-exclusive jurisdiction. Mandatory law that applies where you or your organisation operate, including in New Zealand, is not displaced by this clause.
